End User License Agreement

IMPORTANT! Before using the OCR Studio Web Demo (‘Software’), please read carefully the terms and conditions of its use contained in this Agreement.

Any use of the Software is hereby strictly forbidden, unless you agree to accept unconditionally the terms and conditions of this Agreement.

Launching or otherwise starting to use the Software shall constitute the proper conclusion of this Agreement and Your full acceptance of all its terms and conditions.

1. GENERAL TERMS

1. 1.1. This Agreement states license terms applicable to the use of OCR Studio Web Demo (‘Software’) accessible at https://ocrstudio.ai/demo/ (‘Site’). The Software is a demo-version of the fully browser-based OCR powered by WebAssembly (Wasm) technology.

2. 1.2. Any individual or legal entity using the Software by any possible means is considered a user or a licensee in accordance with this Agreement (‘User’).

3. 1.3. Any rights to the Software, as well as all patents, copyrights, trade secrets and other property rights to the Software or related to it are and shall remain the sole property of the Company: OCR Studio L.L.C-FZ, Limited Liability Company, formation number 2415947, address: The Meydan Hotel, Grandstand, 6th floor, Meydan Road, Nad Al Sheba, Dubai, U.A.E. (‘Company’).

2. PERMITTED USE

1. 2.1. The Software may be used solely for the following purpose: limited non-commercial use for manual testing of the Software functionality.

2. 2.2. The User may:

   1. (a)launch the Software using the Site;

   2. (b)manually test the Software functions (i.e. without using any automatic means of data collection or processing);

   3. (c)review the results in real time (without saving, reproduction or publication of the results).

3. 2.3. The rights and means of using the Software not expressly provided/permitted hereunder should be considered not granted/prohibited by the Company.

3. RESTRICTIONS

1. 3.1. The User may not:

   1. (a)modify, adapt or change in any way the Software and(or) its components;

   2. (b)reverse engineer, emulate, create new versions, modify, decompile, disassemble, decrypt, and also perform other actions with the Software aimed at obtaining information about the implementation of the algorithms, models, technologies or architecture used in the Software;

   3. (c)use any automatic means of data collection or processing while using the Software;

   4. (d)use the Software or the results of its testing for any commercial purposes (including marketing or other purposes beyond the permitted use);

   5. (e)save, reproduce, publish or otherwise disclose the results of the Software testing;

   6. (f)otherwise use the Software except for the permitted use.

4. LIABILITY

1. 4.1.Any use of the Software, its components as well as any results of its use or testing in violation of the terms of this Agreement shall be deemed a violation of the rights of the Company. The User shall be held liable for any such violation in accordance with applicable law.

2. 4.2.The Company does not provide any express or implied warranties in connection with the Software under this Agreement, including any warranties regarding its marketable condition, suitability for the purposes of the User, joint application with software and hardware.

5. DISPUTE RESOLUTION

1. 5.1.Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration under the Arbitration Rules of the Dubai International Arbitration Centre, which Rules are deemed to be incorporated by reference into this clause. The number of arbitrators shall be one (1). The seat of arbitration shall be Dubai, U.A.E. The language to be used in the arbitration shall be English. At the choice of the plaintiff, the dispute may alternatively be referred to the local court at the place of the registered address of the defendant.
